Dear [Client Name]:

Thank you for selecting [Firm Name] to represent you. This letter confirms our agreement regarding legal representation and sets forth the terms of our engagement.

Scope of Representation

Our representation will be limited to the matter described above. Any additional matters will require a separate engagement agreement.

This engagement does not include representation in any appeals, post-judgment proceedings, or matters not specifically described above unless separately agreed upon in writing.

Legal Fees

Our fees for this matter will be based on the time expended at our standard hourly rates. Current hourly rates will be provided separately. Hourly rates are subject to periodic adjustment with reasonable notice.

Billing and Payment

You will receive monthly statements detailing the services rendered and costs incurred. Payment is due within thirty (30) days of the statement date. We reserve the right to cease work on your matter if invoices remain unpaid.

Costs and Expenses

In addition to legal fees, you will be responsible for costs and expenses incurred in connection with your matter, including but not limited to filing fees, court costs, deposition costs, expert witness fees, travel expenses, and copying charges. We will obtain your approval before incurring any single expense exceeding $500.

Termination

You may terminate this engagement at any time by written notice. Upon termination, you will remain responsible for fees and costs incurred through the date of termination. We may withdraw from representation if circumstances warrant, subject to applicable rules of professional conduct and court approval if litigation is pending.

Frequently asked questions

What is an attorney engagement letter?

An engagement letter is a formal document that establishes the attorney-client relationship. It outlines the scope of representation, fee arrangements, billing practices, and mutual responsibilities. Most state bars recommend or require engagement letters for clarity and ethical compliance.

What should be included in an engagement letter?

Key elements include: identification of the client and matter, scope of representation (what you will and won't do), fee structure and billing terms, retainer requirements, communication expectations, termination provisions, and signature lines for both parties.

When should I use an engagement letter?

Send an engagement letter at the start of every new matter, even for existing clients. This ensures both parties have a clear understanding of the representation terms before substantive work begins.

This generator creates a foundational engagement letter. You should customize it to comply with your state bar's specific requirements regarding fee disclosures, client rights notices, and other mandatory provisions.

Most jurisdictions accept electronic signatures for engagement letters. This generator supports both wet signature and e-signature options. Check your local rules for any specific e-signature requirements.
